Terms and Conditions of Service
These Terms and Conditions (“Terms”) govern the relationship between Stanmore Limited (“the Company”, “we”, “us”, or “our”) and the client (“the Client”, “you”, or “your”) for the provision of building and commercial services.
1. Acceptance of Terms
By requesting a quote, signing a contract, or instructing Stanmore Limited to proceed with any work, you agree to be bound by these Terms. Any variations must be agreed upon in writing by a Director of Stanmore Limited.
2. Quotations and Estimates
All quotations are valid for 30 days from the date of issue.
Estimates are provided based on visible conditions. If unforeseen structural issues, hazardous materials (e.g., asbestos), or hidden defects are discovered, we reserve the right to provide a revised quote before proceeding.
Quotations include only the work specifically listed. Any additional work requested will be charged as a “Variation.”
3. Client Obligations
To ensure the project remains on schedule, the Client agrees to:
Provide clear and safe access to the site during agreed working hours.
Ensure all necessary planning permissions, building warrants, and neighbor notifications are in place unless explicitly included in our scope of work.
Provide access to essential utilities (water, electricity) unless otherwise agreed.
4. Payment Terms
Deposits: A deposit may be required before work commences to secure materials and labor.
Invoicing: For larger projects, we may issue interim invoices based on milestones or “work in progress.”
Late Payments: Final payment is due immediately upon completion of the work or within the timeframe specified on the invoice. We reserve the right to charge interest on overdue accounts at a rate of 8% above the Bank of England base rate.
Retention of Title: All materials supplied by Stanmore Limited remain our property until the invoice is paid in full.
5. Variations and Changes
Any changes to the original scope of work must be confirmed in writing (email is sufficient). We will inform you of any price adjustments or timeline delays caused by the variation before the additional work is carried out.
6. Liability and Insurance
Stanmore Limited maintains Public Liability and Employers’ Liability insurance.
We are not liable for pre-existing defects in the property or for damages caused by third-party contractors hired directly by the Client.
Our liability for any claim shall not exceed the total price paid for the services provided.
7. Site Safety and Conduct
We operate in compliance with Health and Safety regulations. The Client must ensure that children, pets, and unauthorized persons stay clear of the designated work area.
We reserve the right to suspend work immediately if the site is deemed unsafe or if our staff are subjected to harassment or verbal abuse.
8. Warranties and Defects
We warrant that all work will be performed with reasonable skill and care.
Any defects in workmanship must be reported to us within 12 months of completion. We will rectify genuine defects at our own expense.
This warranty does not cover normal wear and tear, storm damage, or issues caused by the Client’s failure to maintain the property.
9. Cancellation Rights
By the Client: If you cancel after materials have been ordered or work has begun, you will be liable for the costs of materials and labor incurred up to that date.
By Stanmore Limited: We reserve the right to cancel the contract if payment terms are breached or if site conditions prevent the safe completion of work.
10. Intellectual Property
All drawings, designs, and specifications produced by Stanmore Limited remain our intellectual property. These may not be copied or shared with third parties without our written consent.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
